Service Provider Agreement — RYXFLOW

1. Parties and Acceptance

This Service Provider Agreement ("Agreement") is entered into between RYXFLOW (a product of RENTRYX, hereinafter the "Platform") and the registering business or individual acting as a service provider ("Partner").

By checking the acceptance box during registration, the Partner confirms that it has read, understood, and agrees to be bound by this Agreement (version 1.0).

2. Nature of the Platform

RYXFLOW is an open directory and workspace that connects companies based in the UAE with qualified business service providers, and provides tools for documents, tasks, leads, and communication.

The Platform acts solely as a technology intermediary. It is not a party to any agreement that the Partner may enter into with a client introduced through the Platform.

3. Partner Obligations

The Partner shall provide truthful, accurate and up-to-date information about its company, trade license, services, prices and contact details.

The Partner shall hold all licenses, permits and approvals required by UAE law to provide the services it lists on the Platform, and shall deliver services in a lawful, professional and timely manner.

The Partner shall respond to inquiries and leads in good faith, respect confidentiality of client information, and shall not use the Platform to send spam, harassment or unlawful content.

4. Pilot Period — Free of Charge, No Commission

During the current pilot period, use of the Platform by Partners is free of charge. The Platform does not charge any subscription fee or commission on transactions between Partner and client.

The Platform may, at its discretion and with reasonable prior notice, introduce paid plans or fees in the future. Any new fees will only apply after the Partner has been notified and given a chance to accept or stop using the paid features.

5. Leads, Proposals and Client Relationship

When a company posts a lead, eligible Partners may submit proposals. Selection of a Partner is at the sole discretion of the company.

Once a Partner is engaged by a client, the contractual relationship for the services is exclusively between the Partner and the client. The Platform is not responsible for performance, payment, disputes, refunds or any obligations arising from that relationship.

6. Content, Moderation and Account Standing

The Partner is solely responsible for the content it publishes on its public profile and services (text, prices, photos, documents).

The Platform may moderate, edit, hide, suspend or remove Partner content, services or accounts that violate this Agreement, applicable law, the rights of third parties, or that receive substantiated complaints.

Reputation scores, ratings and reviews shown on Partner profiles are generated based on actual usage, client feedback and platform activity, and may not be artificially altered.

7. Suspension and Termination

The Partner may close its account at any time from the dashboard. Public profile data will be removed within a reasonable period, subject to legal retention requirements.

The Platform may suspend or terminate a Partner account for breach of this Agreement, fraudulent or unlawful conduct, repeated complaints, abandonment, or operational reasons, with notice where reasonably possible.

8. Data, Privacy and Security

The processing of personal data by the Platform is governed by the RYXFLOW Privacy Policy, which the Partner has reviewed and accepted at registration.

The Partner shall protect any client data it receives through the Platform, use it only for the purpose of delivering its services, and comply with UAE data-protection laws.

9. Disclaimers and Limitation of Liability

The Platform is provided on an "as is" and "as available" basis. The Platform does not guarantee the volume, quality or conversion of leads, and does not warrant the conduct of any company or third party using the Platform.

To the maximum extent permitted by UAE law, the Platform (including its owners, employees and affiliates) shall not be liable for any indirect, incidental, consequential or loss-of-profit damages arising out of or in connection with the use of the Platform.

10. Governing Law, Changes and Contact

This Agreement is governed by the laws of the United Arab Emirates. Disputes shall be submitted to the competent courts of the UAE.

The Platform may update this Agreement from time to time. The Partner will be notified of material changes and may be asked to accept the new version to continue using the Platform.
